These Terms of Service ("Terms") govern your access to and use of the services, classes, programmes, workshops, materials, website, and related offerings provided by HarbourLight Learning Academy ("HarbourLight", "we", "us", or "our"). By enrolling in, attending, accessing, or using any of our services, you agree to be bound by these Terms.

1. Introduction and Acceptance of Terms

These Terms constitute a legally binding agreement between HarbourLight and the student, parent, guardian, or other person who registers for, pays for, or uses our services ("you" or "your"). If the student is under 18 years of age, the parent or legal guardian is responsible for acceptance of these Terms and for ensuring compliance by the student.

If you do not agree to these Terms, you must not enrol in, access, or use our services. We may update these Terms from time to time in accordance with Section 10.

2. Scope of Services

HarbourLight provides educational services, which may include, without limitation:

  • Primary and secondary tuition classes;
  • Preschool readiness programmes;
  • English, Mathematics, and Science enrichment;
  • Homework guidance and study skills coaching;
  • Exam preparation for PSLE, O-Level, and IGCSE;
  • Small group learning sessions; and
  • Holiday revision workshops.

We may vary class schedules, teaching staff, curriculum content, venue arrangements, group sizes, and programme structures at our discretion, provided that such changes are reasonable and do not materially reduce the nature of the service purchased, except where required by circumstances beyond our control.

Unless expressly stated otherwise, our services are educational support services and do not guarantee specific academic results, grades, school placements, examination outcomes, or admission to any institution.

3. User Obligations and Responsibilities

You agree to:

  • Provide accurate, complete, and current information during registration and at all times thereafter;
  • Ensure that the student attends classes punctually and is prepared with the required materials;
  • Comply with all class rules, safety instructions, and reasonable directions given by our staff;
  • Ensure that the student behaves respectfully towards teachers, staff, and other students;
  • Notify us promptly of any medical condition, learning need, allergy, behavioural concern, or other matter that may affect participation or safety;
  • Supervise younger children before and after class as required, unless we have expressly agreed in writing to provide supervision;
  • Not disrupt classes, damage property, harass others, or engage in unlawful, abusive, or unsafe conduct; and
  • Use any materials, recordings, or online resources only for personal, non-commercial educational purposes unless we have given prior written consent.

You are responsible for ensuring that the student is fit to participate in the relevant programme. HarbourLight is not responsible for monitoring attendance beyond reasonable administrative records.

4. Payment Terms and Conditions

Fees, package prices, registration charges, material fees, and any other applicable charges will be communicated to you before enrolment or as otherwise published by HarbourLight. All fees are payable in Singapore dollars (SGD) unless stated otherwise.

  • Payment must be made by the due date stated on the invoice, registration form, or payment notice.
  • We may require advance payment, deposits, or full prepayment for certain classes, programmes, or workshops.
  • Fees are exclusive of any applicable taxes unless expressly stated otherwise.
  • Late or non-payment may result in suspension of access to classes, withholding of materials, cancellation of enrolment, or other reasonable administrative action.
  • Any bank charges, payment gateway fees, or currency conversion costs imposed by your payment method are your responsibility unless we state otherwise.

We reserve the right to revise our fees from time to time. Any fee changes will apply prospectively and, where reasonably practicable, we will provide prior notice.

5. Cancellation and Refund Policy

Cancellations, withdrawals, make-up lessons, and refunds are subject to this policy unless a separate written agreement applies.

  • Student cancellation before commencement: If you cancel enrolment before the programme starts, any refund will be determined according to the specific programme terms, less any non-refundable administrative, registration, or material fees.
  • Cancellation after commencement: Once classes have begun, fees for lessons already conducted are non-refundable. Any remaining refund, if applicable, may be calculated on a pro-rated basis at our discretion, subject to deductions for non-refundable fees and costs already incurred.
  • Workshops and short courses: Fees for holiday workshops, revision sessions, and similar short-duration programmes may be non-refundable once confirmed, unless otherwise stated.
  • Absence by student: Missed classes due to illness, travel, personal commitments, or other reasons are generally not refundable. Make-up lessons may be offered at our discretion and subject to availability.
  • Cancellation by HarbourLight: If we cancel a class or programme and are unable to provide a suitable alternative, we will offer a refund or credit for the affected portion of fees paid, subject to applicable law and our reasonable administrative procedures.
  • Refund processing: Approved refunds will be processed within a reasonable time to the original payment method where practicable, subject to bank or payment processor timelines.

Nothing in these Terms limits any non-excludable rights or remedies available to consumers under applicable Singapore law. If a refund is required by law, we will comply with that law.

6. Liability Limitations

To the fullest extent permitted by Singapore law, HarbourLight, its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive losses or damages, including loss of profits, loss of opportunity, or loss of data, arising out of or in connection with your use of our services.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services shall be limited to the amount paid by you to HarbourLight for the specific service giving rise to the claim in the three (3) months preceding the event giving rise to the claim, or SGD 500, whichever is lower, except where such limitation is prohibited by law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.

You acknowledge that educational outcomes depend on many factors beyond our control, including attendance, effort, prior knowledge, and external examination conditions. We do not warrant that any student will achieve a particular result.

7. Intellectual Property Rights

All teaching materials, worksheets, notes, slides, assessments, recordings, logos, trademarks, branding, course structures, and other content provided by HarbourLight are protected by intellectual property laws and remain our property or the property of our licensors, unless otherwise stated.

  • You may use our materials only for the student’s personal educational use in connection with the enrolled programme.
  • You must not copy, reproduce, distribute, publish, upload, sell, sublicense, adapt, or create derivative works from our materials without our prior written consent.
  • You must not record, photograph, or livestream classes without our prior written consent.
  • Any unauthorised use of our intellectual property may result in termination of enrolment and legal action.

Any feedback, suggestions, or ideas you provide to us may be used by HarbourLight without obligation to you, unless otherwise agreed in writing.

8. Data Protection and Privacy

We collect, use, disclose, and store personal data in accordance with the Singapore Personal Data Protection Act 2012 ("PDPA") and our privacy practices. By engaging our services, you consent to our collection, use, and disclosure of personal data for purposes reasonably related to the provision and administration of our services, including:

  • Registration and enrolment;
  • Class administration and attendance tracking;
  • Communication with parents, guardians, and students;
  • Billing, payment processing, and account management;
  • Academic progress updates and feedback;
  • Safety, welfare, and emergency contact purposes;
  • Compliance with legal and regulatory obligations; and
  • Internal record-keeping, quality assurance, and service improvement.

We may disclose personal data to our staff, service providers, payment processors, and other third parties where necessary to provide the services or where required by law. We will take reasonable steps to protect personal data in our possession or control, but no method of transmission or storage is completely secure.

You are responsible for ensuring that any personal data you provide about a child or another person is provided lawfully and, where required, with the appropriate consent.

9. Force Majeure

HarbourLight shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, epidemic, pandemic, public health restrictions, government action, war, civil unrest, labour disputes, power failure, internet outage, transport disruption, or the unavailability of premises, staff, or suppliers.

In such circumstances, we may, at our discretion, reschedule classes, provide online alternatives, adjust programme delivery, or suspend services temporarily. Where appropriate, we will act reasonably to minimise disruption.

10. Changes to Terms

We may amend these Terms at any time. The updated Terms will be posted or otherwise communicated to you and will take effect from the date specified in the notice, or if no date is specified, upon publication.

Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you should discontinue use of the services and contact us regarding any outstanding enrolment arrangements.

11. Applicable Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of Singapore.

Subject to any mandatory legal requirements, the courts of Singapore shall have exclusive jurisdiction to settle any dispute arising from or relating to these Terms or the services. Nothing in this section prevents HarbourLight from seeking injunctive or other urgent relief in any court of competent jurisdiction where necessary to protect our rights or property.

13. Severability Clause

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

If any invalid, unlawful, or unenforceable provision would be valid, lawful, or enforceable if some part of it were deleted or modified, the provision shall apply with the minimum modification necessary to make it valid, lawful, and enforceable.
